Role Description
We are hiring a Senior Legal Counsel (Capital Markets / Structured Finance / Funds) to lead complex cross-border transactions and support the expansion of our capital markets activities. This is a hands-on, high-ownership role in a lean legal team, working directly with key business stakeholders and external counsel.
Work model: Fully remote (preference for US Eastern Time)
Seniority: ~6–9 years of relevant experience (or equivalent)
Key Responsibilities
• Lead and manage capital markets / structured finance transactions end-to-end, coordinating internal stakeholders and external counsel.
• Draft, review, and negotiate transaction documentation (as applicable), including: issuance programmes and related documents (including SPV documentation); offering/transaction documents and disclosures; derivatives documentation and related agreements; and brokerage, custody and other financial services agreements.
• Support fund-related legal work, including service provider agreements, disclosures, and regulatory documentation/filings (as applicable).
• Provide pragmatic regulatory/compliance guidance relevant to Lynk’s products and counterparties in a cross-border setting.
• Manage negotiations with issuers, counterparties, brokers, administrators and other service providers, ensuring clear risk allocation and efficient execution.
• Contribute to building scalable internal templates, playbooks and legal processes as the business grows.
Qualifications
• 7–10 years of relevant legal experience (law firm and/or in-house), with strong exposure to corporate, commercial contracting, regulatory and/or compliance matters.
• Excellent English drafting and negotiation skills.
• Proactive, organized, and comfortable operating autonomously in a fast-paced, fully remote environment.
• Strong stakeholder management skills and a practical, business-oriented mindset.
Nice to Have
• U.S.-qualified attorney or substantial U.S.-related transactional/regulatory experience.
• Experience with cross-border structures involving Cayman.
• Prior experience in fintech, financial services, or technology environments.
