Direct Counsel is seeking a Capital Markets / Mergers & Acquisitions Associate Attorney to join a highly respected Am Law firm in New York, Miami, Dallas, or Washington, D.C. The ideal candidate will have 3–5 years of experience handling a broad range of capital markets transactions and public company advisory matters.
Requirements
- 3–5 years of capital markets and securities experience at a large regional, national, or international law firm
- Experience representing issuers in public and private offerings of debt and equity securities
- Experience advising public companies on SEC reporting, disclosure, and corporate governance matters
- Familiarity with Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements
- Experience interfacing with the SEC and other regulatory authorities
- Public and private M&A experience is a strong plus
- Strong interpersonal, communication, and client management skills
- Excellent academic credentials
- Admission to practice in the applicable office jurisdiction or eligibility to become licensed
