We are a fast-growing aviation law firm focused exclusively on M&A and high-value aircraft transactions, tax structuring, and complex ownership strategies for sophisticated aircraft owners, operators, and investors.
We are seeking a high-performing Senior M&A Paralegal who operates beyond task-based support and instead takes ownership of deal execution, manages transaction flow from start to finish, and operates at a high level within a high-performing team in fast-paced deal environments.
This role is designed for a strong M&A paralegal first and foremost. Prior aviation experience is not required—training will be provided for candidates with strong M&A experience.
In addition to leading M&A and transaction execution, the role includes a secondary responsibility supporting corporate governance and entity-related matters. This work is a smaller but important component of the position and complements the firm’s transaction practice.
This is a fully remote position, offering the opportunity to work closely with a nationwide team and sophisticated clients without geographic constraints.
Core Responsibilities
M&A and Deal Execution (50%)
• Lead and project manage transaction execution from kickoff through closing and post-closing
• Build, manage, and drive closing checklists, ensuring all items, parties, and deadlines are tracked and completed
• Coordinate all aspects of deal flow, including communication with attorneys, clients, brokers, lenders, escrow agents, and third parties
• Prepare first drafts of transaction documents using firm forms and attorney guidance, including:
• Asset and equity purchase agreements and related disclosure schedules and ancillary closing documents (bills of sale, certificates, consents, etc.)
• Aircraft purchase agreements and related ancillary documents (bills of sale, delivery receipts, consents, etc.)
• Aircraft leases and aircraft time sharing agreements (training provided)
• Prepare and update transaction and ownership structure diagrams (PowerPoint or similar tools)
• Conduct and manage due diligence processes, including data rooms, document tracking, and summary outputs
• Prepare and file UCC financing statements, and conduct lien, litigation, and judgment searches
• Prepare and manage signature packets, document distribution, closing binders and post-closing deliverables
Aviation Transactions (Training Provided) (30%)
• Support and lead aircraft purchase and sale transactions and aviation-related M&A
• Assist with FAA registration, title transfers, escrow coordination, and lien searches
• Learn and apply aviation-specific transaction processes and workflows
Corporate Governance / Entity Formation and Maintenance (Secondary Role) (20%)
• Prepare and file entity formation, dissolution, merger, conversion, and foreign registration documents
• Draft governance documents, including operating agreements, bylaws, resolutions, and consents
• Maintain corporate records, minute books, and compliance tracking systems
• Assist with annual filings and multi-state compliance requirements
Ownership and Follow-Through (Critical to Success)
• Consistently and proactively track and follow up on all deal-related tasks, deadlines, and deliverables
• Maintain real-time visibility into deal status and proactively drive matters to completion
• Exercise judgment and autonomy in managing deal workflow with appropriate attorney support

Requirements
• 8+ years of substantive M&A paralegal experience in a law firm environment
• Demonstrated experience leading or heavily managing deal execution, including closings and due diligence
• Strong experience with:
• Closing checklists and transaction coordination
• Due diligence and data rooms
• UCC filings and lien searches
