As an integral member of the Legal Department, this role will work in conjunction with our business clients and other attorneys to handle commercial contract negotiation and drafting, primarily regarding Adaptive's minimal residual disease (MRD) and Immunosequencing assay services for biopharmaceutical customers and investigator-sponsored trials. A portion of this person's time will also be dedicated to supporting the internal corporate and securities function. Key Responsibilities and Essential Functions Draft, review and negotiate contractual arrangements for a range of agreements related to Adaptive's support of customer clinical trials, including MSAs and SOWs with our MRD and Immunosequencing assay biopharmaceutical services teams and MTAs and investigator-sponsored trial agreements with our clinical trials team. Partner closely with privacy and compliance attorneys and counterparts in finance, quality assurance, security, regulatory and operations functions to spot issues and carefully evaluate and mitigate risks. Provide support on NDAs, vendor contract reviews and vendor management matters. Advise on and direct internal traffic regarding routine, ongoing legal queries in the MRD and Immune Medicine businesses, such as contract interpretation, alignment with regulatory requirements, and risk assessments in view of business priorities. Support internal Legal teams on general legal matters relating to ex-US expansion opportunities as they arise, which may include contract negotiation, template improvement, jurisdiction-specific research, and other tasks as assigned. Assist with preparation of certain SEC filings, including Forms 10-K and proxy statements, in addition to general SEC compliance matters, and potentially help with corporate governance projects. Help develop, implement, and maintain contract templates, negotiation playbooks, company policies, and other legal processes to drive value and efficiency, which may include use of and proficiency with artificial intelligence tools. Keep informed of new laws, regulations, and industry trends affecting Adaptive. All other duties as assigned. Key Responsibilities and Essential Functions Required: Juris Doctorate from a nationally accredited law school and current member in good standing of a U.S. state bar. At least 5+ years prior in-house or law firm experience providing transactional legal counsel. Ability to travel at least 1-2 times per year for in-person team or department meetings. Preferred: Strong preference for candidates with at least 2-3 years in a law firm environment. Experience with a biotech and/or the life sciences industry, particularly a diagnostics company, is valued but not required. Comfortable with layers of regulatory, compliance and privacy considerations, and a plus if candidates have experience with privacy agreements (e.g., DPAs and BAAs). Sound business judgment and ability to navigate complex legal issues without losing sight of the overall business goal. Demonstrated client service orientation. Someone eager to establish and own relationships with business owners and who can recognize and respond quickly and pragmatically to demanding clients. Strong verbal and written business communication skills are essential: adept at synthesizing and summarizing complex and/or voluminous content into clear, concise and actionable communications, including on legal matters to non-attorneys. Ability to work under fast-paced conditions, comfortable making decisions and demonstrates good judgment. Strong project management skills: can prioritize multiple tasks and goals to ensure timely, on-target and within-budget accomplishments. Initiative to solve problems and help the commercial function within the Legal department drive process improvements and scalability. Working Conditions: Office environment.
